An investor who incorporates in Ajman gains the advantages of one of the most accessible and most promising emirates in the UAE. Favourable business conditions have made it a preferred platform for local and foreign legal entities alike. Its territory is compact, and four features of the jurisdiction nonetheless argue for company registration in Ajman:

  • an advantageous geographical position.

Ajman sits on the Arabian Gulf, close to Sharjah and to Dubai. Four ports lie nearby, and so do a pair of international airports. Trade and industry have both grown strongly here over recent years. The emirate also provides financial and legal concessions, together with instruments for moving capital across borders, and the object of both is to raise the volume of investment.

Three regimes under one emirate

Company registration in Ajman begins with one decision: which of three organisational models a foreign investor adopts. A commercial unit seated in a free zone is the first, a structure carrying on business onshore the second, an offshore company the third.

The administrative territory of the emirate holds two principal free zones, Ajman Free Zone (AFZ) and Ajman Media City (AMC), each serving different sectors. More than forty specialised economic zones operate nationwide, each under a regulatory regime of its own. Placed beside comparable zones elsewhere, the two in Ajman rank among the region's fastest growing.

Ajman free zone company setup: the authority and the entity forms

AFZ dates from 1988 and stands a short distance from Ajman Port, with the airports of Dubai and Sharjah not much further off. That position gives it an advantage in serving the consumer and investment markets of Europe and Asia. A company formed there enters international markets quickly. Four seaports and a pair of international airports lie within reach of the zone, and that access supports steady growth. Over its years of operation the zone has turned into a major industrial centre, and the privileges and conditions it offers widen the scope for manufacturing, for cross-border trade and for financial services.

Ajman free zone company setup proceeds under a regulatory framework laid down and administered by the Ajman Free Zone Authority (AFZA). AFZA registers and licenses the companies carrying on business within the jurisdiction. It also supplies them with additional services:

Three forms of entity are open to a commercial organisation registered there: the Free Zone Establishment, the FZ LLC, and the representative office of a foreign company.

Federal Decree-Law No. 47 of 2022 made free zone companies taxable while keeping the zero rate for those that meet the conditions it sets. Personal income goes untaxed. Relief from duty on goods imported and exported is complete.

Regime and administration

AFZA has put in place rules favourable to enterprise. Forming an entity in the free economic zone of Ajman is quick and inexpensive. AFZA has also introduced a single-window system that delivers a range of government services, licensing, visa support and immigration support among them.

Premises and facilities

AFZA grants companies long-term leases of land for twenty years, renewable for a further twenty. Warehouses and office blocks stand within the free zone, equipped for a business to operate without interruption.

Media projects and the AMC free zone

Company formation in Ajman Media City serves, as the title of the zone indicates, projects working in the media sector. Created in 2018, AMC is the newest free zone in the Emirates. It was founded to give businesses and private individuals a reliable and professional environment, with innovative and flexible procedures that guide an applicant through every stage of incorporation. Business activity in AMC falls into three types: services and consultancy, electronic commerce, and media-related trade.

An applicant constituting an entity in Ajman Media City may adopt any of several legal forms. Among them are a single-shareholder structure (FZE), a form with several co-founders (FZC), a foreign company's branch (BFC) and the branch of an entity already incorporated in the UAE (BLC). Application for incorporation. Copy of the intended owner's passport. Three candidate names. Confirmation of the share capital of 100,000 AED (or 27,224 USD).

A company registered abroad opening a branch

Certificate showing that the parent was duly formed. Memorandum and articles of association of that parent. A resolution of the competent governing body, which regulates how the branch is established and names whoever is given authority to manage it. Copy of a passport belonging to the manager or authorised representative, valid for six calendar months or longer.

The parent's memorandum and articles, the resolution of its governing body and the manager's passport copy require legalisation at the UAE diplomatic mission in whichever state the parent was incorporated in. They then pass attestation at the federal Ministry of Foreign Affairs.

Business setup in Ajman mainland: ownership and legal form

Onshore Ajman falls under the general legal order of the federation, and of the three regimes it is the most closely integrated into the state economy. Regulatory restrictions bear on an investor who means to seat a legal entity onshore. A resident partner has to be brought in where every founder is a foreign national and the sector is one the state controls. That partner takes a majority stake of 51% in the share capital, and 49% stays with the foreign investor.

Business setup in Ajman mainland opens broad opportunities to an investor, bidding for tenders and selling into the domestic market among them, and no territorial restriction attaches to its operations. Several of the strongest reasons for choosing the city for a new start-up are these.

  • Rules on the formation of companies favour the freedom of a business whose needs are diverse.
  • Rents for offices and for retail premises in the city are low.
  • Two airports and four seaports are close at hand, which suits an enterprise that depends on efficient logistics.

Beyond that, companies in various industries can obtain benefits specific to their own sector. An enterprise that depends on the transport system, for example, gains from the developed road network in Ajman. On the mainland, the emirate admits the legal forms tabulated below.

Sole establishment

Limited liability company (LLC)

Undivided ownership is what the sole establishment offers an entrepreneur or investor. Certain sectors are of strategic importance federally, oil and gas among them, and there a foreigner cannot use it. The sole establishment carries no limited liability, so its owner is exposed to certain potential risks.

Registering an LLC onshore is more accessible here than in the other emirates. Its capital may not be lower than 150,000 AED (or 40,838 USD), and its partners number from two to fifty. Liability tracks the size of the stake: a partner answers only in proportion to that partner's share, so a liquidation or a bankruptcy leaves the personal property of the owners untouched.

Public or private joint stock company

Professional firm

Where investment has to be raised for a start-up, company formation in Ajman is better routed through a public or private joint stock company. The key step in constituting one is drawing up a detailed plan for the commercial activity. That document has to set out every material element of the proposed business model in sequence.

The professional firm allows a service provider to sell or trade its services lawfully in mainland Ajman. Lawyers, accountants, consultants and medical practitioners are among such providers. A professional firm may have a single owner, partners or several owners. Its founder must hold the nationality of the United Arab Emirates. The holder of the license is accountable to third parties for the performance of every obligation connected with the establishment.

Branch or representative office

 

An investor already running a business abroad, or in another emirate, may open a branch here or work through a representative office. Neither amounts to a legal entity distinct from the parent. Liability for everything the branch does rests in full with the parent. Advertising and analytical work exhaust what a representative office may do in the emirate.

 

The four categories of business license

AFZA grants an Ajman free zone license in one of four basic categories, and the character of the commercial activity planned settles which.

Trade license

It authorises trading operations inside the free economic zone, and AFZA will place as many as three lines of activity under one such document.

E-commerce license

A company planning to sell goods remotely, or to supply services through internet platforms, has to obtain this authorisation in advance. The document covers dealings with an end consumer and with another company alike.

Professional service license

Every company must obtain this authorisation before it works in professional services, whatever its residence status and wherever it was registered. Organisations specialising in IT solutions, management consultancy, marketing support and related fields come under this heading. AFZA issues the license before the company begins to perform any contractual obligation inside the zone.

Industrial license

A company intending to manufacture or assemble products takes out an industrial license from AFZA, and no production facility may be built inside the jurisdiction without one. AFZA supplies warehouse and logistics premises equipped for the needs of manufacturing companies in the zone.

National industrial status attaches to a further license, and an operator qualifies for it on all three of the tests below.

  • The legal entity is registered inside the emirate, and its economic activity stays confined to the free economic zone.
  • Its founders are nationals of a Gulf Cooperation Council state and control 51% of the corporate rights or more.
  • Not less than 40% of total output is manufactured inside the free zone.

Registration as a national industrial enterprise carries a preferential foreign-trade regime on exports to the Gulf Cooperation Council states.

The offshore route and the IBC

AFZA regulates the offshore route as well. It supervises incorporation and issues the certificates of registration for offshore legal entities. Its standing makes the format one of the first that investors consider, and small and medium projects and start-ups use it most often. As one variety of offshore entity, the International Business Company (IBC) leaves an entrepreneur flexible in modelling the commercial side.

Certain features of Ajman offshore company formation are worth weighing before an IBC is incorporated.

  • Foreign ownership of one hundred per cent.
  • Full repatriation of invested capital and of the profit earned.
  • Minimal cost of forming the legal entity.
  • No annual audit.
  • No minimum share capital.

Whoever founds such a structure here may acquire and dispose of real estate, and may hold immovable property anywhere in the UAE. Any transaction of that kind, however, requires permission from the competent land department. An offshore company may also keep an account at a bank in the Emirates and operate it in several currencies.

What the route to incorporation involves

The applicant settles first what the company will do. A future organisation may aim at a single sphere of commerce or combine several of them within one corporate structure. One license will sometimes cover several similar activities, which is why establishing the character of the business matters at this stage.

Once that step is complete, the next is a judgment about which serves the enterprise better: starting economic activity onshore, or taking a free zone registration in Ajman. Six stages follow:

  • approval of the commercial name;
  • determination of the corporate structure;
  • incorporation of the enterprise;
  • recruitment of local personnel;
  • transfer of the start-up capital into a UAE account belonging to the legal entity;
  • payment of the registration fees.

Finalising company registration in Ajman requires the following documents:

  • copies of the founders' current passports;
  • proof of where the company owner resides;
  • articles of association;
  • a business plan with an analysis of costs and benefits.

Taxes levied in the emirate

Since 1 June 2023 companies have paid corporate tax of 9% on taxable income above 375,000 AED, and it makes no difference which emirate they registered in. The material advantage for an entrepreneur weighing the emirate lies elsewhere: neither gains on capital nor dividends received are taxed.

Ajman has adopted tax provisions of its own, and so has every other emirate, Dubai and Abu Dhabi among them. Under them the oil and gas sector is taxed at 50%, and a foreign banking institution with a branch in Ajman pays corporate tax at 20%.

AFZA extends the following fiscal advantages inside the free zone.

  • An individual with a stake in the share capital of a company incorporated here pays no tax on income received as a dividend.
  • No corporate taxes, on the conditions set by Federal Decree-Law No. 47 of 2022.
  • Free repatriation of profit.

A foreign shareholder considering company formation in Ajman has reason to watch the tax rules applied at home, because income received in the UAE may be taxable there. The Emirates has ratified numerous conventions eliminating double taxation over recent years. That works to the benefit of shareholders, since it allows them to claim tax credits at home.

Corporate banking and the account the company will need

Few financial systems in the region have developed as far as that of the Emirates. A stable economic environment has come out of three things at once: rapid private-sector growth, a clear regulatory policy and flexible fiscal mechanisms.

Every company founded here needs a corporate account at a UAE bank. One candidate is Ajman Bank, a well-known credit institution whose branches and ATMs are spread across the country. It supplies modern Islamic financial products to private and corporate customers alike, and the choice is wide. Clients may open accounts of various types.

Sharia compliance

Accounts at Ajman Bank conform fully to the law and the principles of Islamic jurisprudence.

Electronic statements

The bank supplies a monthly or quarterly statement on an account free of charge.

Several currencies

Its accounts allow an owner to invest in UAE dirhams, pounds sterling, US dollars or euros.

Internet and SMS banking

Account holders receive every update by SMS alert, and the convenient online portal of Ajman Bank is open to them as well.

A foreigner completing company registration in Ajman may select the Ajman Bank company account, which was designed specifically for business clients. Its principal features are these.

  • Local and international transfers of funds free of charge through mobile banking.
  • A free Platinum MasterCard debit card and chequebook.
  • Online and mobile banking services free of charge.
  • A minimum balance of 10,000 AED (or 2,722 USD) per quarter, which is the threshold for earning a return.
